These Terms and Conditions (hereinafter referred to as "Terms") set out the general terms and conditions of business between Greenometer s.r.o. (ID No. 07638990, hereinafter referred to as "Docometer") and the Client (entrepreneur). They are governed by Act No. 89/2012 Coll., the Civil Code, as amended, and regulate the use of services provided by Docometer.
1. SERVICES AND THEIR USE
Docometer:

provides ESG and annual report automation services,

operates the website www.docometer.com,

provides the Docometer platform, available at app.docometer.com, which allows access to the following features after setting up a user account:

Annual Report Generation module,

ESG module,
-
any other module that is part of the Docometer platform.

Docometer owns all rights, in particular copyright and related rights, to the actual content of the Website, including text and design, graphics, trademarks, logos, generated reports and recommendations, as well as to the selection and arrangement of files contained on the Website.
Any information or data presented on the Website is non-binding, published for informational purposes only, and may be changed or removed by Docometer at any time.
Docometer Platform
Use of the Docometer Platform is subject to a non-exclusive, non-transferable license. This license authorizes the user to access and use the platform solely for the agreed purpose.
The service is intended only for use by entrepreneurs or public administration bodies. Use by consumers is not permitted.
Data collection into the platform can be done through:

online forms,

file uploads,
-
technical integration (APIs).
Platform infrastructure is hosted on Microsoft Azure and Google Cloud within the EU (Frankfurt, Netherlands, Belgium), using industry-standard encryption.
2. USER ACCOUNT
A master user account is required to access the platform. You are responsible for all activities under your account. If acting on behalf of an entity, you confirm you have authority to bind that entity.
Roles include Owner, Manager, Responder, and Viewer. User access is managed by the Organization Owner.
Keep login credentials secure and notify Docometer immediately at info@docometer.com in case of security breaches.
3. PRICE AND PAYMENT TERMS
The use of the Docometer platform is paid. Pricing depends on selected modules and company size. A free trial is available.
Payment can be made:

Monthly or annually (unless agreed otherwise),

via card (subscription) or invoice.
Prices exclude VAT unless otherwise stated. Failure to pay may result in account suspension. Price changes will be notified 15 days in advance. Service auto-renews unless cancelled in writing to info@docometer.com.
Refunds are not provided unless required by law.
4. USE OF THE SERVICE, SUPPORT
Services are provided online. Availability is targeted at 99.9% SLA. Planned outages, force majeure, or third-party failures may temporarily reduce access.
Availability discounts:

99.5%–99.89%: 10%

99.0%–99.49%: 20%
-
95.0%–98.9%: 50%
-
<95.0%: 70%
Prohibited actions include reverse engineering, sublicensing, modifying, or using the platform for unlawful activities.
Support is available on weekdays from 9:00 to 17:00 via info@docometer.com or platform chat.
5. YOUR CONTENT AND PRIVACY
Your data remains your property. Personal data is processed in line with GDPR and Docometer’s Privacy Policy.
You are responsible for content accuracy. Docometer may review or remove content that violates Terms or law.
Each party agrees to the mutual use of names and logos for marketing purposes.
6. CONFIDENTIALITY
Both parties agree to maintain confidentiality for all non-public information, including software details, algorithms, and dummy data. Confidentiality obligations remain valid during and 5 years after account termination.
Disclosure based on your consent (e.g. to third-party partners) is permitted.
7. LINKS TO THIRD-PARTY SERVICES
The platform may link to third-party services. Docometer is not responsible for these services. If integration requires data transfer, your explicit consent will be requested.
8. VALIDITY AND TERMINATION
You may cancel your account at any time via info@docometer.com. A 30 or 60-day suspension option is available.
Docometer may cancel the agreement with 2 months' notice. In serious breach cases, immediate termination is possible.
Upon termination:

Access is revoked,

Data is deleted unless retention is legally required,

No data backup will be provided.
9. WARRANTIES AND LIMITATIONS OF LIABILITY
Docometer provides services with professional care. Liability is limited to direct damages except in cases of gross negligence.
Free calculations on the website are for informational purposes only and not auditable.
Force majeure (e.g. war, terrorism) releases Docometer from liability for service disruption.
Feedback you submit may be used without obligation or compensation.
Users must not:

Violate laws,
-
Upload illegal or inappropriate content,

Spread malware or spam,
-
Circumvent platform restrictions.
You will indemnify Docometer against legal claims arising from your breach of these Terms.
10. FINAL PROVISIONS
Czech law governs these Terms. Docometer may amend the Terms with at least 7 days’ notice via website and email.
Continued use after the effective date implies acceptance. If you disagree, you may terminate the agreement.
Disputes will be resolved preferably amicably. Failing that, jurisdiction lies with Czech courts.
If any provision becomes invalid, the rest remains in force. Czech version prevails in case of translation discrepancies.
Contact language is Czech or English. Electronic communication fulfills the requirement of written form.
